Subcontractor Agreement
GENERAL BIDS & PROJECTS
This Contract for Services is made effective as of ____________________, by and between
EEL RIVER RENOVATIONS LLC of 1501 MICHIGAN AVE, LOGANSPORT INDIANA, 46947 and
_____________________________________________________________________________. In this
Contract, the party who is contracting to receive services will be referred to as "PRIMARY CONTRACTOR or
PC" and the party who will be providing the services will be referred to as "SUB-CONTRACTOR or SC.”
1. DESCRIPTION OF SERVICES. Beginning on ________________, the SC listed above, will provide to the
PC the services described in the attached Exhibit (collectively, the “Scope of Work” pages < 4,5,6>).
2. COMPLETION DATE. All “Scope of Work” shall be completed by _____________________ .
3. PAYMENT FOR SERVICES. In exchange for the Services EEL RIVER RENOVATIONS LLC will pay
______________________________________according to the following schedule : The sum of
$________________in (1) installment(s) of ____________________. Last payment will be issued only upon
completion of this agreement, and contracted services have been deemed acceptable by EEL RIVER
RENOVATIONS LLC. All work order additions and or omissions must be approved by the PC . The SC will
accept all financial responsibility for any work performed by the PC that is not covered in this agreement or
that is not approved by EEL RIVER RENOVATIONS LLC.
4. PURCHASE ORDER. All payments made to SC in reference to this agreement will be tracked by purchase
order # _______________________________________.
5. PERFORMANCE. The SC is required to meet all reasonable completion schedules set forth by the general
contractor therefore the PC agrees to, supply as many workers as needed, or work as many hours as
needed, to meet these completion schedules as well.
6. PROTECTION \ PUNCH. The SC will be responsible for protecting installed items by covering the items up
immediately after installation. The SC will supply all material required to cover items. SC agrees to thoroughly
clean all items described in the “Scope of Work” prior to completion of this agreement. The SC agrees to
complete all typical punch items as required after installation.
7. TOOLS. The SC is responsible for furnishing all tools and equipment required to fulfill this agreement.
EEL RIVER RENOVATIONS LLC will not be responsible for any lost or stolen tools or equipment.
8. OVERTIME. The SC shall be responsible for including any overtime, in its original bid, required to meet
the completion schedule set forth by this agreement. Any overtime compensation that is not covered in this
agreement caused by ,but not limited to, additions or schedule changes shall be agreed upon by The EEL
RIVER RENOVATIONS LLC and ___________________________ in writing prior to commencement of said
work.
9. TERM. This Contract will terminate automatically upon completion by the SC of the Services required by
this Contract.
10. CANCELLATION / TERMINATION. In the event that the “Scope of Work” is canceled , the SC;
____________________________________will be compensated for any work completed based on the
break-down of its bid. If the work completed is not covered in the SC bid then The EEL RIVER
RENOVATIONS LLC or PC, reserves the right to compensate the SC based on a percentage scale of work
completed up to the cancellation date. The PC reserves the right to terminate this agreement at any date,
with no further compensation, if the PC determines that the SC is not performing its obligations to fully meet
this agreement, also if the SC agrees to reimburse the PC for all cost incurred by EEL RIVER
RENOVATIONS LLC company, due to the SC or
________________________________________________ negligence.
11. RELATIONSHIP OF PARTIES. It is understood by the parties that the SC is an independent contractor
with respect to the PC, and not an employee of the PC. EEL RIVER RENOVATAIONS LLC will not provide
fringe benefits, including liability, workman’s compensation, health insurance benefits, paid vacation, or any
other employee benefit, for the benefit of the SC.
12. AVAILABILITY. The SC agrees to participate in a minimum of one pre-construction meeting with EEL
RIVER RENOVATIONS and will also attend scheduled meetings with a notice of no less than 48 hours. The
SC also agrees to make its employees available for drug test and back ground checks if so requested by the
general contractor or the PC. In such case, the PC will agree to pay the hourly wages of the SC employees
for the time taken to complete the drug test.
13. RECEIPT OF GOODS. The SC agrees to have a representative available at the work site whom will be
responsible for inspecting and accepting all goods delivered by the PC. The SC also agrees to be financially
responsible for the replacement of any damaged, lost, or stolen goods due to the SC's negligence. A
delivery notice will be issued to SC 24 hours prior to any delivery deemed to be after hours.
14. CONFIDENTIALITY. The SC, and its employees, agents, or representatives will not at any time or in any
manner, either directly or indirectly, use for the personal benefit of the SC, or divulge, disclose, or
communicate in any manner, any information that is proprietary to EEL RIVER RENOVATIONS LLC. The SC
and its employees, agents, and representatives will protect such information and treat it as strictly
confidential. This provision will continue to be effective after the termination of this Contract.
Upon termination of this Contract, the SC will return to EEL RIVER RENOVATIONS LLC all records, notes,
documentation and other items that were used, created, or controlled by the SC during the term of this
Contract.
15. INDEMNIFICATION. The SC agrees to indemnify and hold EEL RIVER RENOVAATIONS LLC harmless
from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted
against the EEL RIVER RENOVAIONS LLC company that result from the acts or omissions of SC and/or SC’s
employees, agents, or representatives.
16. WARRANTY. The SC shall provide its services and meet its obligations under this Contract in a timely
and workmanlike manner, using knowledge and recommendations for performing the services which meet
generally acceptable standards in SC’s community and region, and will provide a standard of care equal to,
or superior to, care used by service providers similar to the SC on similar projects. Installation warranty
period shall not exceed 365 days from the completion date of this agreement.
17. CONDUCT AND APPEARANCE. The SC and all its employees, agents, or representatives shall conduct
themselves in a professional manner at all times while representing the PC Appearances by SC’s workers
shall meet the guidelines set forth by the EEL RIVER RENOVATIONS LLC company. (i.e. No short pants, No
T-shirts with offensive language or symbols, No wearing of any garments or hat that bears the name or
trademark of any company that might be in competition with The EEL RIVER RENOVATIONS LLC company.
18. INJURIES. The SC acknowledges SC's obligation to obtain appropriate insurance coverage for the
benefit of the SC(and SC’s employees, if any). The SC waives any rights to recovery from the EEL RIVER
RENOVATIONS LLC company and its owners, representatives for any injuries that the SC (and/or the SC's
employees) may sustain while performing services under this Agreement and that are a result of the
negligence of SC or SC's employees.
19. REMEDIES. In addition to any and all other rights a party may have available according to law, if a party
defaults by failing to substantially perform any provision, term or condition of this Contract (including without
limitation the failure to make a monetary payment when due), the other party may terminate the Contract by
providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of
the default. The party receiving such notice shall have 10 working days from the effective date of such notice
to cure the default(s). Unless waived by a party providing notice, the failure to cure the default(s) within such
time period shall result in the automatic termination of this Contract.
20. ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no
other promises or conditions in any other agreement whether oral or written concerning the subject matter of
this Contract. This Contract supersedes any prior written or oral agreements between the parties.
21. SEVERABILITY. If any provision of this Contract will be held to be invalid or unenforceable for any
reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision
of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and
enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.
22. AMENDMENT. This Contract may be modified or amended in writing, if the writing is signed by the party
obligated under the amendment.
23. GOVERNING LAW. This Contract shall be construed in accordance with the laws of the State of Indiana.
24. NOTICE. Any notice or communication required or permitted under this Contract shall be sufficiently
given if delivered in person or by certified mail, return receipt requested, to the address set forth in the
opening paragraph or to such other address as one party may have furnished to the other in writing.
25. ASSIGNMENT. Neither party may assign or transfer this Contract without the prior written consent of the
non-assigning party, which approval shall not be unreasonably withheld.
